Lumentum and Marvell Unite for Advanced AI Optical Solutions
Lumentum and Marvell are merging to enhance optical connectivity, targeting a massive $550 billion market by 2030.
Lumentum Holdings Inc. and Marvell Technology have announced a strategic merger aimed at boosting optical connectivity specifically for artificial intelligence (AI) applications. This collaboration is poised to meet the intricate requirements of modern AI technologies by providing tightly integrated optical solutions.
Focus on Enhanced Optical Solutions
The two technology leaders are focusing on advancing near-packaged optics (NPO) and co-packaged optics (CPO). According to Lumentum's CEO, the fusion of their technologies will enable a cohesive design across the entire spectrum of the electrical and optical signal chain. This includes critical components such as:
- Lasers
- Photodetectors
- Digital signal processors
- Transimpedance amplifiers
- Drivers
- Silicon photonics
Hurlston emphasized that the market indicates a strong need for solutions beyond individual components, as a new wave of AI connectivity actively emerges.
Market Potential
In light of this partnership, Marvell forecasts that the total market available to the newly formed company could soar to $550 billion by 2030. The expected boost in revenue will primarily stem from advancements in NPO and CPO technologies, which are deemed essential for satisfying the rising demand in the AI sector.
Lumentum has highlighted its substantial manufacturing capacity for indium phosphide, a crucial material used in laser production and optical components. The company claims to possess the largest manufacturing footprint in the world for this compound and is committed to expanding its capacity further.
Meanwhile, Marvell, operating as a fabless company, plans to continue its collaborations with semiconductor supply-chain partners and invest in production capacity to meet the anticipated demand for AI connectivity products.
Financial Advantages and Growth Prospects
The merger is expected to yield over $1 billion in annual run-rate synergies, primarily by reducing the cost of goods sold. Marvell’s Chief Financial Officer, Dan Durn, noted that the transaction is anticipated to accelerate revenue growth and improve the company’s financial metrics, including non-GAAP gross margin, operating margin, and earnings per share from the first year post-merger.
With current projections assembling to an annualized revenue of approximately $17.7 billion, the partnership is anticipated to push annual revenue expectations to above $21 billion, alongside an increase in non-GAAP operating margins into the low-40% range.
Strategic Timing of the Merger
When queried about the timing of this merger, Marvell’s executives clarified that this decision isn't merely a response to short-term pressures in the indium phosphide market. Instead, they view a significant shift towards scalable optical connectivity as ongoing and essential for future developments in data center architecture.
Although Lumentum initially considered remaining independent and pursuing its acquisitions, they concluded that joining forces with Marvell would more effectively enhance their capabilities to co-design and market integrated optical solutions.
